General Terms and Conditions
1. Scope of application
The General Terms and Conditions (hereinafter the “GTC”) of Expertiva AG apply to all services offered by Expertiva AG. Clients are natural persons and legal entities who enter into business relationships and legal transactions with Expertiva AG. All activities are carried out exclusively in accordance with the GTC of Expertiva AG. Terms of the client that conflict with or deviate from these GTC are not recognized unless Expertiva AG has expressly agreed to them in writing. Amendments or additions to the GTC by the client are not permitted. The GTC may be amended by Expertiva AG at any time. A current and valid version of the GTC is published on the website or on a portal operated by Expertiva AG and may also be requested. The version of the GTC in force at the time of registration or when the engagement is agreed governs the client relationship.
2. Offer, eligible clients and conclusion of the contract
All offers made by Expertiva AG are non-binding. The offer is addressed to natural persons and legal entities in Switzerland and abroad. The contract is concluded at the time the engagement is agreed in writing, unless Expertiva AG expressly withdraws from the engagement.
3. Prices
The prices for the services of Expertiva AG are in Swiss francs (CHF) and exclusive of value added tax. Incidental costs such as postage or expenses are not included in the prices and may be charged separately.
Expertiva AG expressly reserves the right to change prices; errors in price information are excepted.
4. Terms of payment & means of payment
Expertiva AG reserves the right to deal with clients only against advance payment.
Engagements against advance payment for which the payment is not received within 5 days may be canceled by Expertiva AG without giving reasons. Expertiva AG reserves the right to withhold the service until payment has been received; any entitlement to discounts and commissions likewise lapses.
For all means of payment other than advance payment, additional fees may be charged. The amount of the fee depends on the means of payment. In addition, fees for invoicing, late payment, interest and reminders may be charged to the client.

5. Default of payment & reminder fees
If the client fails to make payment by the respective due date, the client is in default without any further reminder. A fee of CHF 40.00 is charged per reminder on the amount outstanding at the time and must be paid by the client in every case.
All further expenses and outlays in connection with the collection of outstanding amounts are borne by the client.
Expertiva AG is entitled to withdraw from the installment arrangement and to declare the entire outstanding balance immediately due and payable if installments are outstanding.
6. Cancellation of an engagement
Once the engagement has been placed, it is deemed binding and definitive.
If the client nevertheless wishes to cancel and Expertiva AG has not yet begun work on the engagement, a flat-rate fee of CHF 180.00 plus VAT is invoiced to the client.
If the client wishes to cancel an engagement on which Expertiva AG has already begun work, the full value of the engagement falls due.
7. Liability and exclusion of liability
a) Expertiva AG gives no warranty whatsoever as to the correctness of the content, the accuracy, timeliness, reliability or completeness of the information on taxiva.ch.
Any liability claims against Expertiva AG for damage of a material or immaterial nature arising from access to, or the use or non-use of, the published information, from misuse of the connection or from technical malfunctions are excluded.
All offers are non-binding. Expertiva AG expressly reserves the right to change, add to or delete parts of the web pages or the entire offering without separate notice, or to suspend publication temporarily or permanently. Liability for indirect and consequential damage arising from use, from defective performance or from failure to perform is excluded.
b) References and links to third-party websites lie outside our area of responsibility. We accept no responsibility for such websites. Access to and use of such websites is at the user’s own risk.
c) The copyright and all other rights in content, images, photographs and other files on the website belong exclusively to Expertiva AG or to the rights holders specifically named. Written consent from the copyright holders must be obtained in advance for the reproduction of any element.
8. Documents & dispatch of invoices
All parties consent to the electronic dispatch of documents and invoices. If the client expressly wishes to receive a paper invoice or physical dispatch of documents by post, an additional fee of CHF 10.00 becomes due. Further handling charges for secretarial work and shipping costs in accordance with our price list may be incurred in addition.
9. Dispatch of documents
The dispatch by post of client documents, or of documents of any kind on the client’s behalf, is charged per consignment at the flat shipping rate currently in force in accordance with the price list. Further handling charges for secretarial work in accordance with our price list may be incurred in addition.
10. Cancellation of appointments & no-shows
Appointments may be canceled free of charge by telephone or in writing up to 24 hours before the scheduled time. If an appointment is not kept or is canceled within 24 hours before the scheduled time, the appointment is charged to the client at a flat-rate fee of CHF 180.00 plus VAT. Free initial consultations are exempt from this.

12. Place of jurisdiction and applicable law
Swiss law applies.
The place of jurisdiction is Zurich, Switzerland.

These General Terms and Conditions are an English translation provided for convenience. The legally binding version is the German original, available at Allgemeine Geschäftsbedingungen. In the event of any discrepancy, the German version prevails.
